1. Acceptance of Terms
By accessing or using the RoofingOS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you ("User") and OmniOS, Inc. ("Company", "we", "us", or "our"). By creating an account, accessing the Service, or using any part of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
RoofingOS is a business operations platform built on OmniOS, designed for roofing contractors. It provides CRM, pipeline management, AI-powered estimates, crew scheduling, insurance claims management, invoicing, and other business productivity features.
The Service is provided on a subscription basis and may include features powered by artificial intelligence, third-party integrations, and cloud-based data storage. Feature availability varies by subscription tier.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice to affected users. We will make commercially reasonable efforts to notify you of material changes.
3. User Accounts
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years of age to create an account. You agree to promptly notify us of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for an extended period, subject to reasonable notice.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
You shall not attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service. You shall not interfere with or disrupt the integrity or performance of the Service.

5. Intellectual Property
The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by OmniOS, Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain all rights to the data and content you upload to the Service. By using the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.
You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software. You may not reverse-engineer or attempt to extract the source code of the Service.
6. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We may change our subscription fees upon 30 days' advance notice. Continued use of the Service after a fee change constitutes acceptance of the new fees. You may cancel your subscription before the next billing cycle to avoid the new fees.
If payment fails, we will make reasonable attempts to notify you and provide a grace period before suspending access to the Service. Overdue amounts may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
7. Data Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We do not sell, license, or share your data with third parties for their own commercial purposes. Aggregate, anonymized data may be used to improve the Service, but individual customer data remains confidential.
You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from individuals whose data you process through the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL OMNIOS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination
You may cancel your subscription and terminate your account at any time through the account settings. Cancellation takes effect at the end of the current billing period.
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately.
Following termination, we will retain your data for a period of 30 days, during which you may request an export. After this period, your data will be permanently deleted in accordance with our data retention policies.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date.
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
